Our Securities & Corporate Finance Group represents issuers, underwriters, venture capitalists, lenders and other investors in public and private offerings of debt, equity and asset-based securities. Our group of veteran attorneys brings deep experience with federal and state securities laws and regulations—including the Sarbanes-Oxley Act—as well as a strong knowledge of the general corporate law that is necessary for structuring successful public offerings. By collaborating with the firm’s Private Equity and Mergers & Acquisitions groups, we offer a full complement of services that includes assistance in reporting to the Securities and Exchange Commission (SEC) and the formulation and implementation of programs to assist in the management of securities law compliance.

We handle private placements and 144A offerings, representing some of the nation's leading venture capital firms, issuers, private placement agents and institutional investors. For each offering, we assemble specialized teams bringing a results-oriented approach to financing for joint ventures, real estate, exchanges and rights offerings, traditional bank and institutional financing, debt and equity restructuring, and consent solicitations.
