Background

Chris Hand assists his clients with complex financing transactions, mergers and acquisitions, and other corporate matters. In his finance practice, Chris represents both lenders and borrowers in a broad range of secured and unsecured financing arrangements, including acquisition financings, asset-based revolving credit facilities, project financings and other middle-market credit facilities. He also advises issuers in connection with high-yield debt offerings.

Prior to joining Brownstein, Chris worked as Corporate Counsel for TTEC Holdings, Inc. in Denver.

Lender Representations

  • Represented PNC Bank, National Association in a senior secured revolving credit facility for Power Motive Corporation, a retailer and servicer of construction equipment.

  • Represented CIBC in a senior secured revolving credit facility for A-Mark Precious Metals, a precious metals trading company.

  • Represented KeyBank National Association, as administrative agent, L/C issuer, swing lender, and a lender, in a senior secured revolving loan facility, term loan and swing loan for Flagship Premium Food Group LLC and La Tortilla Factory Inc., as borrowers, for the acquisition of Tortilla King, Inc., one of the largest tortilla producers in the Midwestern U.S.

  • Represented Canadian Imperial Bank of Commerce in a secured credit facility for Profile Capital Management LLC in support of its acquisition of the defense technology companies Phoenix Logistics and Riptide Software.

Borrower Representations

  • Represented Freeport LNG, an importer and exporter of liquified natural gas, in connection with a senior secured credit facility, the proceeds of which are used to finance its supply chain operations.

  • Represented Freeport LNG Investments, LLP in a senior secured credit facility used to refinance the borrower’s existing credit facility.

  • Represented Full House Resorts, Inc., the owner and operator of casinos and related hospitality and entertainment facilities, in its closing of a $15 million senior secured five-year revolving credit facility which also includes a letter of credit sub-facility.

  • Represented Clarion Capital Partners in its acquisition of, and acquisition financing for, Ad.net, Inc., a leading provider of digital performance advertising through intent-driven marketing for leading brands and agencies.
