Avi Loewenstein represents private equity funds, entrepreneurs, family offices and private companies in a variety of complex transactions including mergers and acquisitions, leveraged buyouts, growth equity and minority investments, corporate reorganizations and general corporate matters. Additionally, he has crafted complex joint ventures and has helped to form, finance and advise emerging businesses in a variety of industries. Avi is an experienced and versatile advisor, and sought out for his commercial acumen, creativity and bedside manner.

Avi also has extensive experience in various matters involving Colorado and Delaware limited liability companies, partnerships and corporations, including rendering advice as to matters of state law with respect to the formation, operation and dissolution of limited liability companies, partnerships and corporations.

Avi is an adjunct professor at the University of Colorado Law School, where he teaches courses on mergers and acquisitions and advises the Entrepreneurial Law Clinic.

  • Long-standing representation of Monroe Capital, a Chicago-based private credit asset management firm, in a variety of debt and equity financings, dispositions, bolt-ons and restructurings.

  • Long-standing representation of Lion Equity Partners, a Denver-based private equity firm, in numerous portfolio company acquisitions, dispositions and bolt-ons.

  • Represented Vegas.com, the leading entertainment and hospitality marketplace for consumers exploring Las Vegas, in its sale to Vivid Seats, in a cash and stock transaction valued at approximately $240 million.

  • Represented Software Growth Partners, a Silicon Valley based investment firm that focuses on lower-middle market software companies, in its acquisition of ClearlyRated, a leading provider of satisfaction surveys and service quality benchmarking for B2B professional services firms.

  • Represented The Claro Group, one of the top privately owned financial, economic, and management consulting firms in the United States, in its sale to Stout, a Audax Private Equity portfolio company.

  • Represented Microblink, a global leader in AI-powered computer vision software, in connection with a $60 million minority investment led by Silversmith Capital Partners, a Boston-based growth equity firm.
